Wallis Johns Ambassador Program Agreement

Effective Date: Upon signing up for this program, you agree to the terms and conditions outlined in this Agreement.

Parties Involved:

Wallis Johns Inc. ("Company")

The undersigned ("Ambassador")

1. Engagement and Scope

The Ambassador agrees to collaborate with the Company as a non-exclusive promoter and advocate for Wallis Johns Peanut Free Bird Seed products.

Ambassadors must adhere to the tier-specific terms outlined (Bronze, Silver, Gold) within the Ambassador Program guidelines.

The Ambassador will create and share promotional content that aligns with the Company’s guidelines and standards.

2. Compensation and Incentives

The Ambassador will receive commissions based on their tier:

  • Bronze: 10% commission per sale.
  • Silver: 15% commission per sale.
  • Gold: 20% commission per sale.

Commissions are earned on sales made using the Ambassador’s unique referral link and code.

3. Promotional Content and Social Media Deliverables

The Ambassador is required to produce and submit a minimum number of promotional videos per month, and post them on their social media feeds while tagging @peanutfreebirdseed on Instagram and @wallisjohns on YouTube.

All content must:

  • Feature at least one Wallis Johns Peanut Free Bird Seed product.
  • Include a personal story or testimonial.
  • Conclude with a direct and straightforward instruction of using the Ambassador’s unique referral code and/or link.
  • Meet the quality standards for clear audio, good lighting, and professional visual composition.
  • Adhere to the no-text-on-video guideline unless otherwise specified by the Company.

4. Term and Termination

This Agreement commences upon signing up for this program and remains in effect until terminated by either party.

Either party may terminate this Agreement with 30 days written notice.

5. Intellectual Property and Usage Rights

The Ambassador grants the Company the right to use all content created under this Agreement in its advertising, marketing, and promotional materials without restriction. The Ambassador affirms that all content is original and does not infringe on third-party rights.

6. Confidentiality

The Ambassador agrees to maintain the confidentiality of all proprietary information related to the Company's promotions, product details, and sales tactics.

7. Representation and Warranty

The Ambassador will conduct themselves professionally and align with the brand values of the Company.

The Ambassador will refrain from any activities that could negatively impact the Company or its products.

8. Compliance with Laws

The Ambassador agrees to comply with all applicable laws and regulations, including advertising standards and disclosure requirements.

Confirmation: By signing up for this program, you acknowledge and agree to the terms and conditions outlined above, and you consent to be legally bound by them.
